The cluster is incorporated as an ASBL (Association Sans But Lucratif- Non-profit making organisation ).
Full members enjoy all the rights accorded to members by the laws and statutes of the cluster, notably the right to vote during the General Assembly.
Members who are not full members do not have the right however to vote during the General Assembly, although they can attend it .
The Board of Directors has the exclusive right to admit new members. Its decision is final and cannot be reversed except in the case of imperative legal provisions to the contrary. All decisions are communicated to candidates by ordinary mail.
By their affiliation, members shall subscribe to all statutes and internal regulations. They are bound by the statutes, internal regulations and decisions taken by the General Assembly and the Board of Directors.
Members shall commit to paying the membership fee decided annually by the General Assembly and suggested by the Board of Directors. Members are also required to provide the Association with all necessary information required for setting their fee and for invoicing purposes.
The submission of projects for certification by the Wallloon Goverment is only available to those members who are up-to-date with their membership fees.
The right to access the increasing range of services and expertise we offer our Members will depend on the type of membership chosen. In effect, the needs of different members can vary according to their size, their ambitions, and the outlook in terms of the fulfilment of their project or of the research and development.
Furthermore, rising challenges relative to life cycle analysis, which avoids the chances of the negative effects of an innovation, or linked to the risks of global warming on the economic activities of our companies, require that we are in a position to help our members confront these challenges. Besides, the evolution of European regulations would not allow us to ignore them.
That is why we are offering three levels of membership :
Members who fall within the "company" category will pay an annual membership fee that is dependent on the total number of employees (N) active within the company in Wallonia and in Brussels (or within the group if the company is not financially independent as per regulation CE 364/2004), and as follows:
The annual fee for members who fall within the "scientific organisation”, "training centre " or "institutional organisation" category are fixed at a flat rate.
Besides, in conformity with the statutes, full members have the right to vote at the General Assembly and can put themselves forward for the position of administrator.
For each successful grant that is awarded by the Walloon Government, GreenWin will receive a 0.5% “success fee” on the recoverable advance, and a “success fee” of 2.0% on the subsidies obtained by the companies who are partners in the projects.
Confidentiality is one of our top priorities. Members of the GreenWin team commit to keeping private all confidential information it may have access to during each step of the setting up of your project, and to not divulge this information, unless it has obtained prior written consent by its rightful owners.
